Welcome to Aquazeel (“we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and products (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and all policies and guidelines incorporated by reference. If you do not agree to these Terms, you may not use our Services.

 

1. Acceptance of Terms

By accessing or using our website or Services, you affirm that you are at least 18 years old and are legally capable of entering into a binding contract. You agree to comply with all applicable laws and regulations regarding your use of the Services.

 

2. Description of Services

Aquazeel provides the following categories of services:

  • Cloud Infrastructure Resale: We resell cloud infrastructure services primarily powered by DigitalOcean.
  • Custom Software Development: We provide custom software development services based on individual Statements of Work (SOWs).

 

3. Service-Specific Terms

3.1 Cloud Infrastructure Resale (Powered by DigitalOcean)

  • Service Delivery: Cloud infrastructure services are provisioned promptly upon successful order confirmation. Customers receive access credentials or account setup information as part of the fulfillment process.
  • Billing and Usage: Customers are billed based on actual usage of resources (compute, storage, bandwidth, etc.) as tracked monthly. Services are metered and invoiced accordingly.
  • Cancellation: You may cancel your cloud services at any time via your customer portal or by contacting our support team. Cancellation will take effect at the end of your current billing period unless otherwise requested.
  • Refunds: Because cloud services are billed based on usage, we do not offer refunds for partial months, unused services, or mid-cycle cancellations.
  • Third-Party Terms: Our cloud services operate under DigitalOcean’s Terms of Service, which can be reviewed here: https://www.digitalocean.com/legal/terms-of-service-agreement . By using Aquazeel’s cloud services, you also agree to be bound by the applicable terms set forth by DigitalOcean. It is your responsibility to review and comply with DigitalOcean’s terms.

3.2 Custom Software Development (Statement of Work)

  • Service Delivery: Custom development projects are governed by a mutually agreed Statement of Work (“SOW”). Delivery timelines, milestones, acceptance criteria, and specific project details are specified within each SOW document.
  • Billing and Payment: Payment schedules (including deposits, progress payments, and final payments) are outlined in each individual SOW. You agree to adhere to the payment terms specified in your SOW.
  • Cancellation and Changes: Cancellations or modifications to an SOW must be made in writing and agreed upon by both parties. Charges for work completed through the cancellation date will apply.
  • Refunds: Refunds for custom development services are subject to the terms outlined in the specific SOW. Generally, completed and delivered work is non-refundable unless otherwise stated in the SOW.

 

4. User Obligations

By using our Services, you agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Violate any applicable laws or regulations.
  • Infringe upon the rights of others, including intellectual property rights.
  • Transmit any harmful code, viruses, or other malicious software.
  • Interfere with the operation of the Services or the servers and networks connected to the Services.
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.

 

5. Intellectual Property

All content on the Aquazeel website, including text, graphics, logos, images, and software, is the property of Aquazeel or its licensors and is protected by intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any content without our express written permission.

For Custom Software Development projects, the ownership of intellectual property developed will be specified in the individual SOW.

 

6. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

 

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AQUAZEEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; AND (D) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

 

8. Indemnification

You agree to indemnify, defend, and hold harmless Aquazeel, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from your use of the Services or your violation of these Terms.

 

9. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any changes by posting the new Terms on our website with a revised “Last updated” date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
